THE WEBSITE OF ROME DE LUXE TRADING LTD.(“ROME STATION”) IS POWERED BY SHOPIFY, AND SHOPIFY’S STANDARD TERMS OF SERVICE WILL GOVERN YOUR USE OF THE ROME STATION WEBSITE (THE “WEBSITE”) EXCEPT AS SET OUT IN THIS RIDER. IN CASE OF ANY INCONSISTENCY BETWEEN THE TERMS OF THIS RIDER, AND THE TERMS SET OUT IN THE SHOPIFY TERMS OF SERVICE, THE TERMS OF THIS RIDER SHALL TAKE PRECEDENCE. BY AGREEING TO THE SHOPIFY TERMS OF SERVICE AS AMENDED BY THIS RIDER (TOGETHER, THE “TERMS OF SERVICE”), OR BY USING ROME STATION’S WEBSITE OR SERVICES, OTHER THAN TO REVIEW THE TERMS OF SERVICE, YOU WILL BE DEEMED TO HAVE ACCEPTED THE TERMS OF SERVICE. ONCE ACCEPTED, THE TERMS OF SERVICE CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND ROME STATION (THE “AGREEMENT”).

Rome Station engages in the resale and consignment of luxury goods. If you wish to sell or consign items to Rome Station, please also see the Rome Station Seller Terms and Conditions which incorporate the Terms of Service by reference.

1. Financial Provisions

1.1 Payments must be made using the payment methods authorized by Rome Station, and Rome Station must receive and verify your payment prior to processing any order for the purchase of items. By paying a deposit by credit card, you agree to purchase the item and authorize Rome Station to charge your credit card for amount of the deposit. Deposits are non-refundable under any circumstances. Your items will be taken off the market and held exclusively for you for seven (7) days pending receipt of payment in full. If payment is not received within the seven (7) day period, the item will be forfeited and, subject to Section 1.2, deposits for unpaid items will automatically convert to store credit. Please check items carefully prior to making a purchase. All sales are final. Refunds, order modifications or exchanges are not permitted except in exceptional circumstances, as determined by Rome Station at its sole discretion. Rome Station reserves the right to charge a 15% change or restocking fee on any permitted refunds, modifications or exchanges to cover its costs of processing, insurance, authentication and lost selling opportunity.

1.2 You agree to contact our Customer Service Department in a good faith attempt to resolve any dispute, prior to taking further action. To the fullest extent permitted by applicable law, you expressly agree to waive your right to file a chargeback, dispute or claim with your credit card company or bank regarding any amounts paid or owing to Rome Station, including any forfeited deposits. Chargeback or disputes that are filed in respect of an order that was successfully delivered, accurately described or agreed by you will be considered “friendly fraud.” If a chargeback is filed in violation of the Terms of Service, in addition to any other remedies that it may have, Rome Station reserves the right to immediately: (a) suspend your Rome Station account; (b) submit the agreed Terms of Service as proof of the waiver of your rights, (c) submit proof of delivery, checkout details and billing information to your credit card provider, financial institution or Shopify Payments; (d) cancel the sale and retain the deposit, (e) retain the services of a third party collections agency for the purpose of collecting any amounts due or owing to Rome Station, and (f) recover its legal and other reasonable costs incurred in connection with the chargeback, dispute or claim.

1.3 You are responsible for the payment of all taxes, duties, tariffs and levies applicable to your purchase, other than taxes on Rome Station’s income. Rome Station will calculate and charge applicable Canadian taxes at checkout, based on shipping destination and in accordance with applicable laws. You are solely responsible for any fees, duties or taxes owing in respect of international orders, as set out in Section 2.4.

1.4 Rome Station charges fees for the provision of its services, as advised to you from time to time. Rome Station reserves the right to revise its fees from time to time upon notice to you, which notice may be sent to you via email or through the Website.

1.5 All fees, prices, and any payments made by Rome Station, are base in Canadian dollars. Our website may display prices and accept payments in other currencies, converted from CAD at the applicable exchange rate.

2. Shipping, Handling and Delivery

2.1 Rome Station offers flat-rate shipping within Canada and internationally through reputable commercial carriers selected by Rome Station at its reasonable discretion. Customers may arrange their own shipping by notifying Rome Station and providing a prepaid shipping label from their preferred carrier. In such cases, no Rome Station shipping fee will apply. Regardless of who arranges shipping, customer assumes all risk and responsibility associated with shipment once the item has been physically accepted by the carrier.

2.2 Shipping insurance is not included by default, and may be purchased separately at the customer’s request and expense. Customers wishing to purchase shipping insurance must notify Rome Station before the order is shipped. Insurance will be purchased through the selected carrier, and subject to the carrier’s terms and coverage limitations.

2.3 In the case of shipments arranged by Rome Station, Rome Station will provide an estimated delivery date. These dates are estimates only and are not guaranteed. Under no circumstances will Rome Station be liable for delivery delays outside of its reasonable control including, but not limited to, delays caused by the carrier, customs processing or weather events.

2.4 For shipments outside of Canada, all customs duties, taxes, tariffs, brokerage fees, and any other charges imposed by the destination country or directly related the international shipment of the order, are the sole responsibility of the customer. Rome Station does not collect customs duties, import taxes, export taxes, VAT, GST, brokerage fees or other charges imposed by a foreign (non-Canadian) jurisdiction, unless required under applicable law. You are solely responsible for verifying, calculating, reporting and paying any amounts due to foreign taxing authorities. Such amounts are typically collected by the carrier or customs authority before or at the time of delivery. In the event that Rome Station is required to pay any amounts to foreign authorities in connection with your purchase, you agree that you will reimburse Rome Station for all amounts paid.

2.5 Shipped orders normally require a signature or other proof of delivery. Please ensure that an adult is available to accept delivery and provide any necessary signatures or other proof of delivery. You are responsible for notifying Rome Station in the event that your order is not delivered within a reasonable time following shipment.

3. Intellectual Property Rights

3.1 If you provide us with any information, photographs, images, descriptions or other content (“Your Content”), you grant to Rome Station a worldwide, non-exclusive, perpetual, irrevocable, transferable, fully paid-up, royalty free right and license to use, copy, modify, display, distribute, publish (including on social media), perform, host and create derivative works of Your Content in connection with the marketing and sale of your Items, and any other products and service offered by Rome Station. You must only provide us with content that you are legally authorized to use and to license to us in accordance with this Section 3.1.

3.2 As between you and ‎Rome Station, Rome Station exclusively owns all rights, title, and interest, including intellectual property rights, in and to its Website and services, and in all Rome Station data and content made available through the Website and services, including forms, images, photographs, designs, videos, visual effects, accounts, the “look and feel” of the Website and services, descriptions, listings, advertisements and other marketing materials created by Rome Station.

3.3 As used in the Terms of Service, “Rome Station Content” means all images, text, graphics, illustrations, logos, surveys, questionnaires, databases, data, compilations, descriptions, photographs, images, pictures, audio, sound effects, sound recordings, features, functionality, design, presentation videos, visual effects, accounts, selection and arrangement thereof, the “look and feel” of the Website, updates, and all intellectual property rights related to any of the foregoing and to the Website and our services. You agree that our Website, services and the Rome Station Content (including all components thereof) are the property of Rome Station, its licensors or other providers of such material, and are protected by copyright, trademark, patent, trade secret, and any other proprietary rights. You may only use them in accordance with the Terms of Service.

3.4 Rome Station’s name and logo, and all product and service names, designs, images and slogans (collectively, “Marks”) are trademarks of Rome Station. You may not use Rome Station Marks without our prior written permission. Other names, logos, product and service names, designs, images and slogans mentioned, or which appear on the Website, are the trademarks of their respective third-party owners. Rome Station is not affiliated with any of the third-party brands featured on the Website. Use of any such Rome Station or third-party property, except as expressly authorized, may constitute an infringement or violation of the rights of the property owner and applicable Canadian, US and international laws, and may subject you to legal liability.

3.5 You acknowledge and agree that you have no ownership rights in the Marks, our services, the Website or the Rome Station Content. Subject to your compliance with the Terms of Service, Rome Station grants you a non-exclusive, personal, non-transferable, non-sublicensable, revocable, limited licence to access and use our services, Website and any Rome Station Content solely for your personal, non-commercial use. Rome Station reserves all rights not expressly granted to you under the Terms of Service.

3.6 You acknowledge that your use of our services, the Website or any Rome Station Content for any purpose not expressly permitted by the Terms of Service is strictly prohibited. Without limitation, you agree that: (a) neither the Rome Station Content, the Marks, nor the design or layout of the Website, nor any part or component of any of the foregoing, may be copied, downloaded, reproduced, linked, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purpose whatsoever without our or, where applicable, our licensors’ express prior written consent; and (b) you cannot create any work of authorship or proprietary right based on the Website, the Marks, or any Rome Station Content. You agree to promptly advise us if you become aware of any unauthorized use of our intellectual property.

3.7 Rome Station may, at its sole discretion, limit access to the Website or our services, or terminate the account of any user who infringes our intellectual property rights or those of any third party.

4. Product Descriptions

4.1 While Rome Station endeavours to ensure that items are accurately represented in our online store, you acknowledge that our online store may contain errors, including errors relating to product descriptions, pricing, promotions and availability, or may omit certain information. Further, colours or product appearance may differ from how they appear on your screen due to the type of device that you use to access the Website, and your device setting and configurations.

4.2 Rome Station reserves the right to correct any errors or to revise or update information at any time at our discretion, including after an order has been submitted. If any item that you have purchased is in material non-compliance with the description for that item contained on the Website, you must contact us immediately, but in any event within 48 hours of physical delivery.

5. Infringement Policy

5.1 Rome Station will only deal with authentic, legally held and obtained goods. Rome Station guarantees the authenticity of each item that it offers to purchasers, and will provide a full refund to the purchaser of any item successfully proven to be inauthentic.

5.2 Rome Station may, at its sole discretion, determine that any item is inauthentic, counterfeit, unapproved, suspected or alleged to be stolen, subject to a legal claim, or offered for sale in an unauthorized geographic market. Rome Station engages in-house authentication and may, but is not required to engage third-party verification.

5.3 Rome Station will use reasonable efforts to investigate allegations that any content on the Website, or any items that it offers for sale on the Website or in its retail locations, violate, infringe or misappropriate the intellectual property rights of any third party. If you believe that your work has been copied and/or your intellectual property rights have been violated, please contact us immediately. In the case of alleged copyright infringement, a notice may be submitted to Rome Station pursuant to the Canadian Copyright Act. Notices must contain the following information:

  • Your address, telephone number, and email address.
  • A description of the copyrighted work that you claim has been infringed.
  • A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
  • A description of where the alleged infringing material is located.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by you, the copyright owner, its agent, or the law.

If you believe that your work has been removed due to allegations of copyright infringement, but believe that it is not infringing, please provide us with written notice that:

  • Confirms that you are the owner, or authorized to represent the owner of the intellectual property.
  • Identifies of the removed content.
  • Describes of the removed content.
  • Includes a statement of good faith regarding ownership of the intellectual property.
  • Includes your contact information and a statement to accept service of process regarding the alleged infringement.

Rome Station will endeavour to resolve all infringement disputes within thirty (30) business days.

6. Disclaimer of Warranties

6.1 EXCEPT AS EXPRESSLY PROVIDED IN SECTION 5, TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) THE WEBSITE, OUR SERVICES AND ALL ITEMS OFFERED THROUGH THE WEBSITE OR OUR RETAIL LOCATIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS; AND (B) ROME STATION EXPRESSLY DISCLAIMS AND EXCLUDES ALL WARRANTIES, INCLUDING ALL CONDITIONS, REPRESENTATIONS OR OTHER TERMS, WHETHER STATUTORY, EXPRESS, OR IMPLIED (INCLUDING ANY IMPLIED REPRESENTATIONS OR WARRANTIES AS TO MERCHANTABILITY, NON-INFRINGEMENT, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR CONFORMANCE WITH DESCRIPTION), EXCEPT TO THE EXTENT THAT THEY ARE EXPRESSLY SET OUT IN THE TERMS OF SERVICE.

6.2 Rome Station expressly disclaims any representations or warranties that: (a) your use of our services, the Website or any items offered for sale will meet your expectations; (b) that we will accept any or order, or that you will be able to purchase any item through the Website or our retail location; (c) your use of the Website or our services will be uninterrupted, timely, secure, or free from error; (d) the Website will be free of viruses or other harmful components; (e) any information obtained by you as a result of your use of the Website or our services will be accurate, complete or reliable; or (f) defects in the operation or functionality of the Website will be corrected.

6.3 Rome Station may change, suspend, withdraw, or restrict the availability of all or any part of the Website for any reason at any time without notice to you. You voluntarily agree to assume all risks associated with or resulting from your use of our services and the Website, however arising.

6.4 Your use of our services and the Website may depend on the Internet, third party networks, payment platforms, facilities, equipment and devices that are not under our control. Accordingly, (a) we cannot guarantee any minimum service level regarding performance, speed, reliability, availability, use, or consistency of the Website, and (b) you acknowledge and agree that data, messages, information and other materials sent over the Internet may not be private or secure.

7. Indemnity

Without limiting any other remedies that Rome Station may have, including pursuant to the Rome Station Seller’s Agreement, you agree to defend, indemnify and hold Rome Station harmless from and against any and all claims, actions, damages, costs (including reasonable legal and other professional fees), penalties and fines suffered or incurred by Rome Station resulting from or arising in connection with: (a) your breach of the Terms of Service (including any documents referenced in the Terms of Service), (b) your access to and use of our services or the Website; and/or (c) your violation of the law, or of the privacy, property, intellectual property or other rights of any third party. You also agree to compensate Rome Station for any other costs and expenses, including reasonable legal fees, that it incurs in enforcing its rights under the Terms of Service or any agreement between you and Rome Station.

8. Limitation of Liability

8.1 NOTHING IN THE TERMS OF SERVICE WILL EXCLUDE OR LIMIT ROME STATION’S LIABILITY FOR LOSSES WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. SUBJECT TO THE FOREGOING, IN NO EVENT WILL ROME STATION AND OUR SHAREHOLDERS, DIRECTORS, OFFICERS, ‎EMPLOYEES, ADVISORS, AGENTS, ADVERTISERS, SUPPLIERS, CONTENT OR SERVICE PROVIDERS ‎ ("ROME STATION PARTIES") BE LIABLE (JOINTLY OR ‎SEVERALLY) TO YOU OR TO ANY OTHER PARTY FOR: (A) ANY INDIRECT, ‎CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR ‎EXEMPLARY DAMAGES WHATSOEVER, OR (B) LOSS OF USE, LOST DATA, LOST ‎PROFITS, LOST SAVINGS, LOST REVENUES, LOST GOODWILL OR DAMAGE TO REPUTATION, LOST OF PRIVACY, LOST BUSINESS, BUSINESS INTERRUPTION OR LOST OPPORTUNITY (IN EACH CASE, WHETHER INCURRED DIRECTLY OR INDIRECTLY), ARISNG OUT OF OR IN CONNECTION WITH OUR WEBSITE OR SERVICES OR THEIR USE, THE TERMS OF SERVICE OR ANY AGREEMENT, ‎‎(COLLECTIVELY, THE "EXCLUDED DAMAGES"). THE FOREGOING LIMITATIONS ‎APPLY WHETHER THE ALLEGED LIABILITY IS BASED IN TORT ‎‎(INCLUDING NEGLIGENCE), CONTRACT, STRICT LIABILITY OR OTHER THEORY OF ‎LIABILITY, EVEN IF ANY OF THE ROME STATION PARTIES HAVE BEEN ‎ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY ‎OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY ‎FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY, AND YOU HEREBY WAIVE, RELEASE, AND FOREVER DISCHARGE THE ROME STATION PARTIES FROM AND AGAINST ALL OF THE EXCLUDED DAMAGES.

8.2 Under no circumstances will any Rome Station Parties be liable for any costs, losses or damages which are or which may be incurred by you as a result of:

  • any changes which Rome Station may make to its Website or services, or for any permanent or temporary suspension of the Website or any features included in the Website;
  • the deletion or corruption of, or failure to store, any data or other content maintained or transmitted through your use of the Website or our services;
  • causes beyond Rome Station’s reasonable control including, but not limited to, shipping, customs or banking delays, changes in legislation or regulatory framework, or the acts or omissions of third parties, including carriers, Shopify or any payment processor;
  • your failure to provide Rome Station with accurate account information, or other breach by you of the Terms of Service; or
  • your failure to keep your credentials or other account details secure and confidential.

8.3 To the fullest extent permitted by law, any dispute that you have with a third party arising out of your use of the Website or our services including, by way of example and not limitation, Shopify or any third- party payment processor, is directly between you and such third party, and you irrevocably release Rome Station from all claims, demands, costs and damages of any kind arising in connection with such disputes.

8.4 IN NO EVENT WILL THE ROME STATION PARTIES’ TOTAL, AGGREGATE ‎LIABILITY, ARISING UNDER OR IN CONNECTION WITH ROME STATION’S SERVICES, THE WEBSITE, THE TERMS OF SERVICE OR ANY AGREEMENT EXCEED THE SUM OF ONE THOUSAND FIVE HUNDRED CANADIAN DOLLARS ($1,500), REGARDLESS OF THE CAUSE OF ACTION.‎

8.5 ANY CLAIM ARISING UNDER OR IN CONNECTION WITH THE ROME STATION SERVICES, WEBSITE, THE TERMS OF SERVICE OR ANY AGREEMENT MUST BE BROUGHT WITHIN TWELVE (12) MONTHS OF THE OCCURRENCE OF THE ACT OR OMISSION GIVING RISE TO THE CLAIM.

8.6 YOU AGREE THAT THE LIMITATIONS OF LIABILITY CONTAINED IN THIS SECTION 8 ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND ROME STATION, WITHOUT WHICH ROME STATION WOULD NOT HAVE AGREED TO PROVIDE ITS WEBSITE OR SERVICES TO YOU.

8.7 SOME JURISDICTIONS DO NOT PERMIT LIMITATIONS OF LIABILITY, OR LIMIT THE CIRCUMSTANCES IN WHICH A PARTY’S LIABILITY MAY BE LIMITED. IF ‎ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS ‎SECTION 8 TO BE UNENFORCEABLE, THEN THE ROME STATION PARTIES' ‎LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT ‎PERMITTED BY APPLICABLE LAW.

9. Miscellaneous

9.1 Entire Agreement. The Terms of Service, the Seller Terms and Conditions and the Privacy Policy, as applicable, will exclusively govern your purchase, sale and/or consignment of items using Rome Station’s services. Rome Station reserves the right to revise the Terms of Service, and any documents referenced herein, from time to time upon notice, although revisions will not apply to existing agreements unless required by law or by Rome Station’s service providers, including Shopify.

9.2 Governing Law and Dispute Resolution. The Terms of Service, and all Agreements between you and Rome Station, will be governed exclusively by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflicts of laws provisions. To the extent to which they would otherwise apply, the parties hereby waive the application of the International Sale of Goods Act and the United Nations Convention on Contracts for the International Sale of Goods. In the event of a dispute, the parties will endeavor to reach an amicable solution before instituting legal action. Any dispute that cannot be resolved through discussions between the parties within thirty (30) days (or such longer period as the parties may agree), either party may, upon written notice to the other, refer the dispute for resolution by a single arbitrator administered by the Vancouver International Arbitration Centre (VIAC) pursuant to its applicable rules. The parties shall select the arbitrator promptly and use commercially reasonable efforts to conduct the arbitration hearing no later than three (3) months after the arbitrator is selected. The arbitrator may not award punitive or exemplary damages against either party or any other relief in excess of the limitations set forth in this Agreement. The judgment and award of the arbitrator will be final and binding on each party. Judgment upon the award may be entered in any court having jurisdiction, or application may be made to such court for judicial acceptance of the award and/or an order of enforcement as the case may be.

9.3 Legal Review. You acknowledge and agree that you have reviewed, understand, and have had the opportunity to consult with independent legal counsel prior to agreeing to the Terms of Service. No rule of strict construction will apply against or in favour of either party in the construction or interpretation of this Agreement.

9.4 Minors. You represent and warrant that you have attained the age of majority in your jurisdiction of residence. Rome Station’s services and Website are not intended for use by minors. Rome Station will not knowingly transact with minors without the express written consent of a parent or guardian.

9.5 Accuracy of Information. You represent and warrant that all information, including account, contact and banking information, that you provide to Rome Station is true, accurate, complete and up-to-date, and that Rome Station is entitled to rely upon that information for the purposes of processing transactions, including payments, and enforcing its rights. You agree to promptly notify Rome Station in the event of any change to the information that you have provided.

9.6 Cooperation with Law Enforcement. Rome Station will comply with all applicable laws, and will fully cooperate with law enforcement, customs and other regulatory authorities, including in connection with the investigation of any actual or suspected fraud, stolen property, illegal or counterfeit goods, money laundering, or other unlawful activity.

9.7 No Assignment. You may not assign the Agreement, or any of your rights or obligations under the Agreement without Rome Station’s express prior written consent. Rome Station may assign this Agreement, or any of its rights or obligations, at any time and for any reason. The Agreement will inure to the benefit of, and is enforceable by and against the parties and their respective successors and permitted assigns.

9.8 Waiver. Any consent by a party to, or waiver of, a breach by the other party, whether express or implied, shall not constitute a consent to or a waiver of any other, different or subsequent breach.

9.9 Privacy. Rome Station respects your privacy. Rome Station will only collect, use and disclose your personal information in accordance with the Rome Station Privacy Policy which is incorporated herein by reference. Rome Station will not disclose your personal information to any third party (including brands) without your prior consent unless Rome Station is permitted or required to do by applicable law or pursuant to valid court order.

9.10 Severability. The provisions of the Agreement are severable. If one or more provisions of the Agreement is held to be unenforceable under applicable law: (a) the unenforceable provision will not affect any other provision of the Agreement; (b) the Agreement will be construed as if the unenforceable provision was not present; and (c) the parties will negotiate in good faith to replace the unenforceable provision with an enforceable provision with effect nearest to that of the provision being replaced.

9.11 Contract Language. In the event of a dispute, the English text of the Agreement shall take precedence. Les parties ont exigé que le présent contrat et tous les documents connexes soient rédigés en anglais.

9.12 Electronic Communications. The Agreement between you and Rome Station may be executed via physical means (wet ink/paper signature) or electronically through the Website. By using our services or Website, creating an account, communicating with us electronically, or accepting any terms and conditions (including the Seller Terms and Conditions or Terms of Service) through the Website, you consent to receive communications regarding the transaction by electronic means. You may always opt out of receiving electronic communications by contacting us at info@romestation.ca. You expressly agree that, to the fullest extent permitted by applicable law, electronic communications, notices, records, agreements, acknowledgements and signatures will satisfy any legal requirement that such communications must be in writing, and will have the same legal effect as paper documents and handwritten signatures.
